Constitution

Article 1 - Name

This group shall be known and designated as the Grimsby Celebration Choir.

Article 2 - Purpose
  • To provide an opportunity for people to sing.
  • To foster new friendships.
  • To raise money through concerts for charitable organizations within the community.
  • To bring joy through music in the form of sing-outs to the community, i.e. retirement and nursing homes.
Article 3 - Membership & Fees
  • Each Grimsby Celebration Choir member is assured of a safe and positive environment in which to sing.
  • Each Grimsby Celebration Choir member must abide by the safety guidelines and conduct as described in the Policies & Procedures section.
  • Distributed music and binders belong to the Grimsby Celebration Choir and must be returned when a member leaves the choir. 
  • Every member must be in good standing and is required to pay an Annual membership fee plus each season’s dues, monthly, semi-annually or annually.
  • The amount of these fees will be reviewed by the Board of Directors annually and the members will be notified of any changes in advance of the first practice in September.
  • Members must be at least 19 years of age.
  • Any issues, concerns or complaints from members must be put in writing and delivered to any Board member to be dealt with. Hearsay and verbal comments will not be considered for discussion.
  • Members are required to abide by all policies and procedures of the choir as described in the Member Handbook.
  • All Members in good standing have the right to vote at the AGM.
  • Members not in good standing will be required to leave the Choir.
Article 4 - Board Of Directors

The Board consists of the Executive and Committee Directors with voting rights:
   The Executive includes:
       President
       Secretary
       Treasurer
   The Committee Directors include:
       Librarian
       Membership Director
       Public Relations Director

   Sub-Committees are headed up by a Convenor in a non-voting role:
       Librarian
           Sub-Committee
               Music
       Membership Director
           Sub-Committee
               Social Convenor
               Archivist
               Contact Convenor
               Sing-out Convenor

The Board of Directors positions are described in Sections 1 - 7 of the ROLES AND DUTIES of the Grimsby Celebration Choir.

The Board Members have voting rights. There must be a quorum of at least 4 of 6 voting members.  Committee and Sub-Committee members may be invited to attend a Board of Directors Meeting but are non-voting.

Decisions made by the Board of Directors are made after careful consideration of the goals and objectives of the choir, its members, the financial budget targets for the year, and the overall achievement of the artistic plans for the season as they unfold throughout the year for the motion proposed.

A decision is approved where a motion has been proposed and discussed, a quorum exists, and a voting majority of the attending board members vote in favour of the motion. A record of approved motions will be recorded in the minutes of the board meetings.

Notice of Board members of meetings dates and times will be provided at a minimum two weeks prior to the meeting unless the matter is of sufficient urgency to require a shorter notice period as determined by the President.

Decisions will be communicated to the members either at the Annual General Meeting or through the News & Notes emails .

Article 5 - Term of Service

A Director elected by the members of the Grimsby Celebration Choir shall serve for a term of three (3) years.

Members of the Board of Directors are expected to take an active role in the organization and to be in regular attendance at Board meetings. If a Director fails to attend at least 50 % of the meetings in any 12 month period, then upon the motion of a member of the Executive Committee of the Board, approved by a simple majority, that Director may be removed from the Board of Directors.

The Board of Directors may appoint a member to complete the term of any vacancy which occurs on the Board. All Board positions will be reviewed and open to the general membership every three (3) years. If more than two (2) people are interested in a position, an election may be held and passed with a majority vote of members present​​.

Article 6 - Dissolution Of The Choir

In the event the organization is dissolved, any physical and monetary assets will be distributed to one or more local charities as chosen by the Board.

Article 7 - Year End

The fiscal year end for the choir shall be July 31.

Article 8 - Amendments to Constitution and Administration

A review of this Constitution will be done as needed.

No alterations shall be made to the Constitution unless a notice of motion is given prior to the Annual Meeting, at which time it may be approved by a majority vote of the members present.  Proxy votes may be allowed.
